相信很多小伙伴会经常在各种合同中涉及公司主体资格或者能力的部分看到一个固定表述good standing,常见的出现方式是duly incorporated, validly existing and in good standing三个部分连用,duly incorporated(妥为设立)和validly existing(有效存续)的含义非常直观而明确,只有这个in good standing的含义和译法不太统一,其中最常见的译法是“信誉良好”,果真是此含义,还是一直以讹传讹,今天就来好好说说这个good standing吧~当然,今天的讨论仅限于公司法语境,暂不讨论good standing在其它语境中的用法。 先来看一个例子: §1.
